Verboo Code Terms of Use

1. Identification, Purpose, and Acceptance

Verbeux Serviços LTDA, a company registered under Brazilian Corporate Taxpayer ID (CNPJ) No. 46.214.362/0001-86, hereinafter referred to as Verboo, provides Verboo Code, a service intended for software development activities through access to artificial intelligence models, including a terminal-based coding agent, a web chat interface, an application programming interface compatible with market standards, managed inference infrastructure, and complementary features.

By creating an account, accessing, or using Verboo Code by any means, the account holder represents that they have read, understood, and fully accepted these Terms of Use, as well as the Fair Use Policy and the Privacy Policy, which are incorporated herein for all purposes. If the account holder does not agree with any provision, they must refrain from using the service.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • (a) Verboo Code or service: the set of features described in Clause 1;
  • (b) Account holder: the individual who subscribes to and uses the service through an individual account;
  • (c) Plan: the subscription tier, including its applicable models, limits, and conditions, as configured and presented at the time of purchase;
  • (d) Agent or CLI: the command-line program that, with the account holder’s authorization, interacts with the account holder’s computing environment;
  • (e) API: the application programming interface through which the account holder’s applications access the service;
  • (f) Access key (API key): the credential used to authenticate API requests, subject to the subscription and plan;
  • (g) Input: content submitted by the account holder, such as instructions, code, files, images, audio, and queries;
  • (h) Output: content generated by the service in response to the account holder’s inputs;
  • (i) Third-party model: an artificial intelligence model provided by a third party to which the service routes requests;
  • (j) Auxiliary services: complementary features involving external providers, such as payment processing, messaging, internet search, voice transcription, storage, usage analytics, and authentication;
  • (k) Plugin: an extension, tool, or add-on made available through the service;
  • (l) Fair Use Policy: the document governing tiers, operational limits, and abusive-use practices, which forms an integral part of these Terms.

3. Description of the Service

Verboo Code provides the account holder with access to artificial intelligence models designed for software development through a command-line agent, a web chat interface, and an application programming interface compatible with market standards, supported by inference infrastructure managed by Verboo through request routing, as set forth in Clause 14.

The features, available models, capabilities, limits, and characteristics of the service may vary depending on the plan and may be improved, modified, replaced, or discontinued, in whole or in part, at any time. The subscription grants the account holder the right to use the service during the subscription term, within the scope of the applicable plan, models, and limits, and does not transfer ownership of the infrastructure, models, or service software.

4. Registration, Account, and Eligibility

Use of the service requires the creation of an individual account and is intended for individuals who are at least eighteen years old or otherwise legally competent. Registration may be completed using an email address and password or through authentication by an external provider, subject to the availability and configuration of each method.

The account holder must provide truthful, accurate, and up-to-date information and maintain the confidentiality of their credentials, remaining responsible for all use made through their account. Each subscription is assigned to a single account holder, in accordance with the Fair Use Policy. Verboo may reject, suspend, or terminate registrations, subject to applicable law, in cases of false information, violation of these Terms, or security risk.

5. Acceptance and Updates to the Terms

Acceptance of these Terms is recorded in a versioned manner and may include, among other elements, the accepted version, date and time, language, technical request identification, and acceptance channel. Verboo may publish new versions of these Terms and, when required by the nature of the amendment, condition continued access on renewed acceptance. Access to features may be suspended while required acceptance remains pending.

6. Plans, Tiers, Trials, Billing, and Renewal

The available plans, service tiers, and usage limits are described in the Fair Use Policy and in the information presented at the time of purchase. With respect to the offer and price, the plan actually selected at the time of purchase shall prevail. Prices, billing cycles, and payment methods are those shown in the account holder’s account area, and payment may be made by card or through an instant payment arrangement, depending on the plan.

The availability, duration, and conditions of any free trial vary by plan. A particular plan may not include a trial, may require a payment method, or may depend on additional verification and the absence of prior use. At the end of the trial period, unless timely canceled, the subscription will convert into a paid subscription and billing will begin as disclosed.

Unless otherwise stated, the subscription will automatically renew at the end of each billing cycle through a new charge until canceled. Any price changes will be communicated in advance through official channels and will apply to subsequent billing cycles. Applicable taxes will be handled in accordance with the law in force.

7. Cancellation, Refunds, and Nonpayment

The account holder may cancel the subscription at any time through the account area. The effects of cancellation may vary depending on the payment method used and, as a rule, will take effect at the end of the already-paid billing cycle, with no further charges. Certain instant payment arrangements may be subject to specific cancellation and reactivation procedures, as disclosed at the time of purchase.

Consumers are guaranteed the right of withdrawal in accordance with applicable law, where applicable. Nonpayment may result in suspension of access and, if it continues, termination of the subscription, without prejudice to collection of amounts due.

8. Usage, Scope of the Term “Unlimited,” and Operational Limits

Any reference to usage without a quota means that there is no monthly token allowance and no additional charge based on the number of tokens consumed. Such reference does not mean uninterrupted availability, constant speed, dedicated capacity, unlimited context, or the absence of operational limits.

Access remains subject to technical capacity and the limits stated in the plan, including request rates, concurrent requests, throughput, queuing and waiting times, model context and output limits, model and instance availability, reasonable-use rules established in the Fair Use Policy, security, and maintenance. Intensive usage is accommodated progressively in accordance with the Fair Use Policy and may affect applicable routing without changing the absence of a token quota.

9. Individual Use, Teams, API, and Prohibition on Resale

The individual plan is intended for the account holder’s personal use for software development purposes. API use to serve applications, products, or third-party end users is subject to a specific plan, as provided in the Fair Use Policy. Reselling, sublicensing, redistributing, or sharing access to or capacity under the plan is prohibited, except where expressly permitted.

Access keys are personal, subject to the subscription and plan, and must be kept confidential by the account holder, who is responsible for protecting, rotating, and revoking them when necessary. Verboo may revoke keys and limit their creation to preserve the security and integrity of the service.

10. Command-Line Agent and Responsibility for the Account Holder’s Environment

The agent made available through Verboo Code may, with the account holder’s authorization, execute commands, read, create, modify, and delete files, and interact with the computing environment in which it is run. The account holder acknowledges and agrees that such operations occur under the account holder’s sole responsibility and within an environment controlled by the account holder.

The account holder is responsible for:

  • (a) Having authorization over the machine, repository, and resources accessed by the agent;
  • (b) Maintaining appropriate backups and version control before performing sensitive operations;
  • (c) Reviewing the permissions granted to the agent, with the understanding that execution modes requiring less confirmation increase the risk of changes and command execution;
  • (d) Refraining from using the agent to access, modify, or compromise third-party systems, accounts, repositories, or data without authorization;
  • (e) Protecting credentials, keys, environment variables, secrets, and project files.

Custom tools, integrations, plugins, and third-party components installed or enabled by the account holder are not fully controlled by Verboo and may increase risk. The account holder is responsible for their use.

11. Inputs, Outputs, and No Warranty Regarding Results

The account holder is solely responsible for the inputs submitted and represents that they possess all necessary rights, as well as for the intended purpose and use of outputs. Outputs are generated by artificial intelligence models and, due to their nature, may contain inaccuracies, errors, omissions, inappropriate content, insecure code, or content subject to third-party rights, and do not constitute professional advice.

The account holder must review, test, and validate outputs before any use, especially when they are incorporated into production systems. Verboo does not guarantee that outputs will be correct, secure, original, compilable, free of vulnerabilities, or suitable for a particular purpose. Due to the way the models operate, identical or similar outputs may be generated for different account holders, and no exclusivity or originality is guaranteed for any output.

12. Plugins, Extensions, and Third-Party Content

Except for those expressly developed by Verboo, plugins and other extensions made available through the service constitute third-party content and code. Their availability does not imply endorsement, comprehensive review, or any warranty of operation or security.

The author or publisher of a plugin is responsible for its license, applicable rights, and content. Making available malicious code, credentials, unlawful content, or content that violates third-party rights is prohibited. Verboo may suspend, remove, or make unavailable any plugin that violates these Terms or poses a risk. Plugins are installed and run at the account holder’s own risk.

13. Intellectual Property and Licenses

Inputs remain the property of the account holder. To the fullest extent permitted by applicable law and subject to the licenses of the models used, Verboo assigns and transfers to the account holder the rights relating to outputs generated from the account holder’s inputs, and the account holder will own such content, subject to the qualifications set forth in Clause 11.

The platform, routing and inference infrastructure, back end, web interface, client software, documentation, brand, and other distinctive signs are owned by Verboo or its licensors. The account holder is granted only a limited, personal, revocable, and non-transferable license to use them. The client software may be made available under its own open-source license, whose terms will prevail with respect to that software and will not be confused with the licenses applicable to the models, infrastructure, or trademarks. Third-party trademarks belong to their respective owners, and technical compatibility with market standards does not imply affiliation, sponsorship, or endorsement.

14. Third-Party Models and Services

Inference for the models made available under the plan is performed by routing requests to an inference environment designated by Verboo, which may use third-party models and infrastructure. Verboo is not the developer or owner of such models, and the availability, performance, capacity, or continuity of any particular model is not guaranteed and may vary, become unavailable, be added, or be removed at any time.

Optional or auxiliary features, such as payment processing, messaging, internet search, voice transcription, image storage, authentication through external providers, usage analytics, and integrations, may involve data processing by third parties, as described in the Privacy Policy. Search results originate from external sources, and Verboo does not guarantee their availability, timeliness, lawfulness, or accuracy. The account holder is responsible for complying with the rights and terms of the consulted sources. Use of such features may also be subject to the respective providers’ terms, and Verboo is not responsible for third-party acts, omissions, or policies.

15. Privacy and Data Protection

The processing of personal data complies with the Brazilian General Data Protection Law (Lei Geral de Proteção de Dados Pessoais — LGPD) and other applicable law. Verboo does not use account holders’ inputs to train or improve artificial intelligence models and does not develop its own models for that purpose. However, model training is distinct from other operational purposes, including service delivery, security, fraud prevention, support, auditing, and usage measurement.

To provide the service, inputs are transmitted to the inference environment and, when the account holder uses auxiliary features, to the relevant providers to the extent necessary. Such providers have their own data-processing policies. Detailed terms, including data categories, legal bases, retention periods, suppliers, and data-subject rights, will be set out in Verboo’s Privacy Policy, which also forms an integral part of these Terms.

16. Prohibited Conduct and Security

Without prejudice to the Fair Use Policy, the account holder must not:

  • (a) Share credentials or access keys, or resell or redistribute access under an individual plan;
  • (b) Circumvent or attempt to circumvent request, concurrency, reasonable-use, trial-period, or billing limits;
  • (c) Perform abusive reverse engineering of the service or test vulnerabilities without authorization;
  • (d) Use the service to create or distribute malicious code, commit fraud, conduct phishing, send spam, or exfiltrate data;
  • (e) Access or modify third-party systems, accounts, repositories, or data without authorization;
  • (f) Submit unlawful content, content that violates third-party rights, or third-party personal data without a legal basis;
  • (g) Use the service in high-risk automated decision-making without appropriate human oversight;
  • (h) Submit workloads that impair the operation of the service or affect other account holders.

17. Availability, Maintenance, and Support

Verboo uses reasonable efforts to maintain service continuity and quality but does not guarantee, under an individual plan, uninterrupted availability, the absence of failures, the continued availability of any specific model, or any particular response time. The service may be subject to maintenance, updates, and scheduled or emergency interruptions. Support is provided through official channels, within the stated scope and conditions. Service-level commitments, where available, apply exclusively to enterprise offerings under a separate agreement.

18. Disclaimer of Warranties

Verboo Code is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Verboo makes no warranty that the service will be uninterrupted, error-free, suitable for the account holder’s particular purpose, or capable of producing specific results. Nothing in these Terms excludes consumer rights guaranteed by mandatory law, which remain fully effective to the extent they cannot be validly limited.

19. Suspension, Blocking, and Termination

If Verboo identifies a violation of these Terms or the Fair Use Policy, unlawful activity, a security risk, nonpayment, or a need to preserve operations, Verboo may, on a proportionate basis, limit or queue requests, reject an unavailable model, suspend an access key, remove a plugin, block an account or subscription, or interrupt use of the service, while preserving evidence and cooperating with authorities where appropriate. Whenever possible and reasonable, the account holder will be notified in advance. Restoration of the service after correction or review is not automatic.

The account holder may close their account at any time. Termination for any reason does not extinguish obligations accrued before termination, and provisions that by their nature should survive will remain in effect.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Verboo will not be liable for indirect damages, lost profits, loss of data, or loss of opportunity, nor for damages arising from use of or inability to use the service, unavailability of models or third-party features, execution of commands or modifications by the agent in the account holder’s environment, or use of outputs.

Where liability applies, Verboo’s aggregate liability is limited to the amount actually paid by the account holder for use of the service during the twelve months preceding the event giving rise to the claim. The limitations in this Clause do not apply in cases of willful misconduct or gross negligence, nor to rights that cannot be waived under mandatory law.

21. Indemnification

The account holder agrees to indemnify and hold Verboo harmless from any losses, damages, liabilities, and expenses, including reasonable legal fees, arising from a violation of these Terms or the Fair Use Policy, misuse of the service, operations performed by the agent in the account holder’s environment, or violation of third-party rights or applicable law.

22. Amendments, General Provisions, Governing Law, and Venue

Verboo may modify the service and these Terms at any time and will communicate material changes through official channels. Continued use after the changes take effect constitutes acceptance of the revised terms. Verboo may assign its rights and obligations under these Terms upon notice; the account holder may not do so without prior consent.

These Terms, together with the Fair Use Policy and the Privacy Policy, constitute the entire agreement between the parties concerning the subject matter addressed herein. If any provision is found invalid, the remaining provisions will remain unaffected. Failure to enforce a breach does not constitute waiver or novation. These Terms are governed by the laws of the Federative Republic of Brazil, including consumer protection law where applicable. The courts of the District of Fortaleza, State of Ceará, are elected as the venue, except where mandatory law provides that the courts of the consumer’s domicile have jurisdiction.
