Verboo Code Terms of Use
Version 2.4
Drafting Date: September 29, 2026
Publication Date: September 30, 2026
Effective Date: October 30, 2026
ATTENTION: Please carefully read Clauses 8, 9, and 20, which address operational limits, Fair Use, and the circumstances in which a subscription may be limited, suspended, or terminated.
1. Identification, Purpose, Scope, and Acceptance
Verbeux Serviços LTDA, registered with the Brazilian National Registry of Legal Entities (CNPJ) under No. 46.214.362/0001-86, with registered office at Rua Doutor Gilberto Studart, 55, Suite 1317, Tower 2, Cocó, Fortaleza, Ceará, Brazil, ZIP Code 60192-105, hereinafter referred to as “Verboo”, provides Verboo Code, a service primarily intended for software development through access to artificial intelligence models, including a terminal-based coding agent, web interface, application programming interface, managed inference infrastructure, and complementary features.
These Terms govern individual plans for Verboo Code. Business, commercial, team, dedicated-capacity, or usage-based plans may be subject to a separate agreement or specific terms. In the event of a conflict, the specific agreement shall prevail with respect to the matters it governs, subject to applicable law.
By creating an account, subscribing to, accessing, or using Verboo Code, the Account Holder declares that they had the opportunity to review these Terms in advance, have read and understood them, and agree to these Terms of Use, the Privacy Policy, and any supplemental policies that are expressly identified as applicable and effectively made available to the Account Holder.
The Fair Use rules set forth in these Terms form part of the conditions applicable to individual plans, unless the applicable offer or a specific agreement provides otherwise.
If the Account Holder does not agree to these conditions, they must not subscribe to or continue using the Service, subject to the transition rules set forth in Clause 5.
2. Definitions
For purposes of these Terms:
(a) Verboo Code or Service: the set of features, applications, interfaces, and infrastructure made available by Verboo;
(b) Account Holder: the individual responsible for the account and the individual subscription;
(c) Plan: the subscribed service tier, including its applicable prices, models, capacities, priorities, operational limits, and other conditions presented in the offer;

(m) Countable Inference Request: a request originating from the Account Holder's use of the Service and actually forwarded to a model for processing. Retries, internal routing operations, and other calls generated exclusively by Verboo's infrastructure may be disregarded for Fair Use purposes;
(n) Concurrency: the number of inference requests processed simultaneously or kept in execution simultaneously on behalf of the same subscription;
(o) Independent Environment: a machine, server, container, workspace, instance, application, or computing environment that independently uses the subscription credentials;
(p) Automated Activity: use performed by software, a script, agent, application, or process that executes requests autonomously or recurrently without human interaction proportionate to the scale of use;
(q) Operational Tier: a technical classification used by Verboo to organize routing, priority, and Service load management. Operational Tiers may have different levels of priority, throughput, concurrency, queueing, or wait times, according to the current configuration of the Plan. An Operational Tier does not constitute a token allowance and does not, by itself, establish a Fair Use violation.
3. Description of the Service
Verboo Code provides access to artificial intelligence models and resources primarily intended for software development activities.
The Service may include different models, providers, routing systems, agents, interfaces, and processing infrastructure.
Features, models, capacities, and characteristics may vary by Plan and may be improved, replaced, added, or discontinued for technical, security, availability, or Service-evolution reasons, while respecting the essential characteristics of the subscribed offer and the rules in Clause 5 regarding material changes.
The subscription grants the Account Holder the right to use the Service during the term of the subscription in accordance with the Plan, these Terms, and the Fair Use rules.
The subscription does not transfer ownership of models, infrastructure, software, trademarks, or any other assets of Verboo or third parties to the Account Holder.
4. Registration, Account, and Eligibility
The Service and individual Plans are intended for individuals 18 years of age or older.
The Account Holder must provide accurate and up-to-date information and is responsible for keeping their credentials secure.
Each individual subscription corresponds to a single Account Holder.
Credentials, API Keys, or computing capacity associated with the subscription may not be shared with other persons or made available as a service to third parties unless the subscribed service tier expressly authorizes such use.
Verboo may request additional information when it identifies indications of account compromise, fraud, sharing, incompatible automation, or another violation of these Terms.
If Verboo identifies that an individual account is being operated by a person under 18 years of age, Verboo may restrict or suspend access and take reasonable measures, subject to applicable laws concerning the protection of children and adolescents and personal data protection.
5. Acceptance, Updates, and Transition Between Versions
Verboo may electronically record acceptance of these Terms, including the accepted version, language, date, time, acceptance channel, and technical information necessary to evidence the manifestation of consent.
New versions may be proposed when there are changes to the Service, features, operational rules, security, pricing, applicable law, or conditions of use.
Material changes affecting rights, obligations, or relevant characteristics of the subscription will be communicated with reasonable advance notice and may require new acceptance before taking effect for the Account Holder.
For Account Holders with an active subscription before the effective date of this Version 2.4, the new Fair Use rules set forth in Clause 9 will take effect only from the effective date stated at the beginning of these Terms and will not apply retroactively to earlier periods.
Continued use of the Service after the effective date of this Version 2.4 may be conditioned on new acceptance when requested by Verboo.
If the Account Holder does not agree to a material change introduced by this Version 2.4, they may request cancellation before the new conditions take effect. If any amount was paid in advance for a period that will not be used because of such termination, Verboo will provide the applicable pro rata refund, subject to the payment method and applicable law.
Until new acceptance occurs, the contractual relationship will remain governed by the version of the Terms previously accepted by the Account Holder, except for legal provisions with immediate application, until new acceptance, cancellation, or expiration of the subscription. Verboo may condition a new renewal on acceptance of the then-current version of the Terms, while preserving access during any period already paid for, except where a valid suspension or termination applies under the contractual version then in force or under applicable law.
6. Plans, Operational Tiers, Billing, Promotions, and Renewal
The available models, price, billing cycle, operational limits, and other characteristics of each Plan will be presented before subscription and may be consulted in the account area or applicable documentation.
Promotional conditions, when offered, will state their duration, eligibility requirements, and other applicable rules.
Where applicable to the Plan, Verboo may use Operational Tiers as a mechanism for gradual load accommodation and technical capacity management. Use of Operational Tiers does not, by itself, change the subscribed price or create a token allowance.
Unless otherwise stated at the time of subscription, recurring subscriptions will renew at the end of each billing cycle until canceled by the Account Holder.
Price changes or material changes to Plan characteristics applicable to future billing cycles will be communicated in advance when required by law or by the nature of the change.
Plans may have different concurrency limits, request rates, priorities, models, features, and other resources, as disclosed in the offer.
7. Cancellation, Right of Withdrawal, Refunds, and Nonpayment
The Account Holder may cancel the renewal of the subscription at any time through the means made available by Verboo. As a general rule, cancellation prevents future renewals, and access remains available until the end of the period already paid for, except in the event of a valid suspension or termination resulting from a violation of these Terms or a legal requirement.
Where a consumer relationship exists and the subscription is entered into away from a business establishment, including electronically, the statutory right of withdrawal will be ensured within the applicable legal period, including the 7 (seven)-day period provided for in Article 49 of the Brazilian Consumer Protection Code (Código de Defesa do Consumidor), with reimbursement as required by applicable law. The right of withdrawal may be exercised through the same tool used to enter into the subscription, without prejudice to any other channels made available by Verboo.
If a subscription is definitively terminated due to a violation of these Terms, Verboo will refund on a pro rata basis the amounts corresponding to the paid but unused period, unless applicable law expressly permits a different outcome in the specific circumstances. Any proven losses caused by the Account Holder as a result of fraud, resale, intentional sharing, deliberate circumvention of technical controls, or other unlawful conduct may be separately assessed and pursued in accordance with applicable law. Verboo will not automatically retain the unused balance as compensation.
Nonpayment may result in suspension of access and, if it continues, termination of the subscription, subject to the applicable offer and applicable law.
8. Unlimited Plans, Operational Tiers, and Operational Limits
Use of the expressions “unlimited,” “unlimited tokens,” “no token allowance,” or equivalent language means that the Plan does not have a predetermined monthly token allowance and does not impose an additional charge based exclusively on the number of tokens consumed, unless the offer expressly provides otherwise.
This does not mean unlimited computing capacity, uninterrupted availability, guaranteed speed, infinite concurrency, or the absence of capacity-management and Fair Use mechanisms.
All Plans are subject to the limits and technical mechanisms necessary for stable provision of the Service, consistent with the subscribed offer, including:
- concurrency;
- request rate;
- throughput;
- queues and wait times;
- model and instance availability;
- infrastructure capacity;
- context and output size;
- routing systems;
- security mechanisms; and
- the Fair Use rules set forth in these Terms.
8.1. Operational Tiers
Where applicable to the Plan, Verboo may use Operational Tiers to accommodate usage and distribute available capacity among Account Holders.
Classification into or movement between Operational Tiers may affect the technical routing applied to the account and, depending on the Plan configuration, factors such as processing priority, throughput, concurrency, queueing, or wait times.
Movement between Operational Tiers may take into account available capacity, the account's usage pattern, and operational criteria necessary for stable provision of the Service. Technical routing and capacity-management criteria may be improved over time, provided they are not used to unilaterally alter the essential characteristics of the subscription. Material changes to Plan conditions will be subject to Clause 5.
Classification into a particular Operational Tier, a temporary reduction in priority, queueing, or another form of operational load accommodation does not, by itself, mean that the Account Holder violated the Fair Use rules. Likewise, classification into a higher-priority Operational Tier does not guarantee dedicated capacity, fixed speed, or permanent priority.
The existence of Operational Tiers does not create a token allowance or an additional charge based exclusively on the number of tokens consumed.
High token consumption, by itself, does not constitute a Fair Use violation.
9. Fair Use Policy
9.1. Purpose
Individual Verboo Code Plans are intended for the Account Holder's personal use in software development activities.
Verboo recognizes that software development may involve agents, automation, long-running tasks, multiple model calls, and periods of intensive use.
The mere use of automation, coding agents, CLI tools, or other tools compatible with the Service does not, by itself, constitute a violation of these Terms.
Fair Use is intended to distinguish these legitimate uses from autonomous, shared, resold, or large-scale operations incompatible with an individual subscription.
9.2. Technical Review Criteria
To identify usage patterns that may be incompatible with an individual Plan, Verboo may analyze the technical behavior of a subscription through operational indicators and internal detection mechanisms.
Indicators may include, among others:
(a) request volume and frequency;
(b) number of requests in relation to the effective period of activity;
(c) intervals between requests and temporal regularity of calls;
(d) average, maximum, and sustained concurrency;
(e) duration, recurrence, and continuity of activity periods;
(f) simultaneous use across different sessions, environments, or instances;
(g) continuous or recurring usage patterns consistent with autonomous execution; and
(h) combinations of technical indicators capable of distinguishing personal use from automated, shared, or large-scale operations incompatible with the purpose of the Plan.
Indicators may be evaluated individually and, in particular, in combination, taking into account the context, intensity, duration, and recurrence of the observed behavior.
9.3. Internal Technical Parameters and Detection Mechanisms
For Fair Use purposes, Verboo may use configurable internal technical thresholds, analysis windows, scores, combination rules, and other detection mechanisms applied to the indicators described in Clause 9.2.
These parameters may vary depending on the Plan, models used, Service architecture, available capacity, identified operational risks, and technical evolution of the platform. Updates to these parameters may not, by themselves, unilaterally alter the essential characteristics of the subscribed Plan or retroactively convert previously compliant use into a violation.
Reaching a technical threshold, internal score, or monitoring condition may trigger analysis or review of usage, but does not, by itself, constitute a Fair Use violation, except for the objectively incompatible conduct described in Clause 9.6.
The specific values of thresholds, weights, analysis windows, and internal detection rules do not necessarily form part of these Terms. The provision of information about criteria and procedures will observe the Account Holder's rights under applicable law, including rights concerning automated decisions, as well as the protection of commercial and industrial secrets and the security of abuse-prevention mechanisms.
9.4. Operational Indicators and Determination of a Violation
Classification of usage as technically atypical does not, by itself, constitute a violation of these Terms.
Occasional usage spikes, extensive builds, large refactorings, execution of agents during long-running tasks, multiple calls resulting from the same activity, and isolated periods of intensive use may occur legitimately.
The volume of tokens consumed, the operational cost generated by the Account Holder, cache rate, subscription profitability, or the Account Holder's isolated position on a particular metric may be used as operational indicators for monitoring, review prioritization, capacity management, or investigation of usage patterns, but they will not, by themselves, be sufficient grounds to establish a Fair Use violation or impose a non-preventive suspension or termination of the subscription.
A determination that usage is incompatible must consider the available technical signals as a whole, including their recurrence, duration, context, and consistency with automated, shared, resold, third-party processing, or large-scale use incompatible with the purpose of the subscribed Plan.
Strictly operational capacity-management measures, including routing between Operational Tiers, queueing, priority adjustments, or application of technical limits provided for in the Plan, may be adopted to preserve the stability and quality of the Service without, by themselves, constituting a determination that a Fair Use violation occurred.
9.5. Patterns That May Indicate Incompatible Automated Use
The following may constitute relevant indications of incompatible automated use, especially when observed recurrently or in combination:
(a) request volume or frequency that reaches or exceeds internal technical thresholds applicable to the Service;
(b) reduced or excessively regular intervals between requests in a pattern consistent with automated execution;
(c) high or sustained concurrency that reaches or exceeds internal technical monitoring parameters;
(d) continuous or recurring periods of activity that reach internal parameters associated with autonomous or systematic execution;
(e) simultaneous use across multiple sessions, environments, or instances in a pattern incompatible with individual use of the subscription;
(f) sustained autonomous or systematic execution at a scale incompatible with ordinary human interaction; or
(g) a combination of technical indicators that, when considered together, is consistent with use of the subscription as automated or shared infrastructure, or as infrastructure intended to process workloads for third parties.
Identification of these patterns may result in a review of usage and the measures set forth in these Terms.
Technical identification of an atypical pattern does not constitute automatic cancellation of the subscription.
9.6. Incompatible Conduct Regardless of Technical Thresholds
Regardless of whether thresholds, scores, or other internal monitoring parameters are reached, the following constitute Fair Use violations when verified:
(a) sharing an individual subscription among multiple users;
(b) reselling, sublicensing, redistributing, or commercializing access to the Service;
(c) using an individual subscription as an inference backend for an application, platform, product, or service offered to third parties, unless expressly authorized by the Plan;
(d) operating agent farms, workers, servers, or systems designed to continuously and autonomously use the capacity of an individual subscription at a scale incompatible with its purpose;
(e) creating multiple accounts or subscriptions for the purpose of circumventing technical limits or Fair Use rules;
(f) deliberately modifying, concealing, or manipulating request patterns to avoid detection or limitation mechanisms;
(g) circumventing or attempting to circumvent concurrency limits, rate limits, queues, routing systems, or other technical controls of the platform;
(h) using credentials belonging to different Account Holders to artificially aggregate computing capacity; or
(i) using the Service in a manner that materially compromises or threatens the availability, security, or stability of the infrastructure.
A non-preventive suspension or termination of a subscription on Fair Use grounds may occur only (i) after conduct described in this Clause 9.6 has been verified, subject to the safeguards and exceptions in Clause 20, or (ii) if a pattern described in Clause 9.5 persists after notice to the Account Holder and expiration of the remediation period set forth in Clause 20. Merely reaching thresholds, scores, or internal parameters is not sufficient grounds for termination.
9.7. Technical Monitoring
For security, fraud prevention, infrastructure management, and enforcement of the Fair Use rules, Verboo may process technical metadata related to use of the Service, including request times, request quantity and frequency, duration, concurrency, technical session or environment identifiers, models used, processed volume, request status, and other operational data necessary for these purposes.
Processing of this information will comply with the Privacy Policy, the principles of necessity, purpose limitation, and transparency, and applicable law.
Where technical metadata is sufficient for verification, Fair Use analysis will not, by itself, require human access to the Account Holder's code or Inputs.
9.8. Usage Review and Applicable Measures
When relevant indications of incompatible use are detected, Verboo may, depending on the nature and severity of the case:
(a) place the subscription under review;
(b) request clarification from the Account Holder;
(c) temporarily apply queueing, reduced priority, rate limiting, or reduced concurrency;
(d) request that the Account Holder adjust their usage;
(e) offer or request migration to a subscription model appropriate to the identified usage;
(f) preventively suspend the subscription when necessary to protect the infrastructure, other users, or third parties; or
(g) terminate the subscription in the circumstances and according to the procedure set forth in these Terms.
Measures must be proportionate to the severity, recurrence, risk, and impact of the identified usage, without prejudice to immediate measures necessary in situations involving material risk.
9.9. Review of Decisions
The Account Holder may request review of a suspension, limitation, or termination imposed under the Fair Use rules.
Verboo will immediately confirm receipt of the request through the same means used by the Account Holder, where technically possible, and will respond to the review request within 5 (five) calendar days, without prejudice to any more favorable statutory or regulatory deadline applicable to the Account Holder.
If a relevant measure is taken solely on the basis of automated processing of personal data and affects the Account Holder's interests, the Account Holder will have the right to request review in accordance with applicable law.
Where Article 20 of Brazilian Law No. 13,709/2018 (Lei Geral de Proteção de Dados Pessoais — LGPD) applies, Verboo will, upon request, provide clear and adequate information regarding the criteria and procedures used for the automated decision, subject to commercial and industrial secrecy to the extent permitted by law.
A review request submitted within the remediation period set forth in Clause 20 will suspend definitive termination of the subscription until Verboo responds, except in cases involving immediate risk, fraud, resale, intentional sharing, deliberate circumvention of technical controls, or another serious situation requiring immediate protective action.
If the review concludes that the violation underlying the measure did not occur, the effects of the measure will cease and access will be restored. If the subsequently reversed measure completely prevented use of the Service during a period already paid for, Verboo will compensate for the period of unavailability through an equivalent extension of the subscription, a proportional credit, or a proportional refund, as applicable, without prejudice to rights provided by law.
Exercise of rights under the LGPD is free of charge and will comply with the applicable legal and regulatory deadlines and procedures.
10. Individual Use, API, and Prohibition on Resale
An individual subscription is intended for the Account Holder's personal use.
API access linked to an individual Plan may be used for the Account Holder's own activities related to the purpose of the Plan.
Use of the API to serve end users, customers, third-party products, or third-party applications may require a usage-based, business, commercial, or other service tier expressly authorized by Verboo.
Access Keys are personal and must be protected against unauthorized use.
Verboo may revoke or replace credentials that are compromised or used in violation of these Terms, subject to the applicable procedures where the measure affects continuity of the Service.
11. Command-Line Agent and the Account Holder's Environment
The Verboo Code agent may, when authorized, execute commands and read, create, modify, or delete files in the Account Holder's computing environment.
The Account Holder is responsible for the permissions granted to the agent and must adopt reasonable safeguards, including backups and version-control systems where appropriate to the nature of the activity.
The Account Holder must ensure that they are authorized to access the machines, repositories, files, accounts, and systems used by the agent.
Plugins, custom tools, and components installed by the Account Holder may perform actions outside Verboo's direct control.
12. Inputs, Outputs, and Artificial Intelligence Results
The Account Holder is responsible for the Inputs submitted and represents that they possess the rights and authorizations necessary for their use.
Outputs generated by artificial intelligence models may contain errors, omissions, vulnerabilities, inaccurate information, or content similar to content generated for other users.
The Account Holder is responsible for reviewing, testing, and validating results before using them in production, particularly where they may affect security, availability, personal data, third-party rights, or other situations involving material risk.
Verboo does not guarantee the correctness, security, originality, fitness for a particular purpose, or functionality of generated code, without prejudice to warranties and liabilities that cannot be excluded by law.
13. Plugins, Extensions, and Third-Party Content
Third-party plugins and extensions may be subject to their respective licenses and terms, provided that those terms are made available to the Account Holder when applicable.
Making a third-party component available through the Service does not imply an unrestricted guarantee of its functionality or security.
Verboo may suspend, remove, or block a component that violates these Terms, poses a security risk, or infringes third-party rights, subject to applicable law.
14. Intellectual Property
Inputs submitted to the Service remain the property of their respective owners or other lawful rights holders.
Subject to legal and contractual limitations and the licenses applicable to the models involved, any rights that may exist in Outputs generated from the Account Holder's Inputs will be assigned to the Account Holder to the extent permitted by applicable law. Verboo does not guarantee that any particular Output is copyrightable, exclusive, or free of third-party rights.
The platform, infrastructure, systems, software, documentation, trademarks, and other Verboo assets remain the property of Verboo or its licensors.
Use of the Service grants the Account Holder only the license necessary to use the subscribed features during the subscription term and within the limits of the Plan, without transferring ownership of any Verboo or third-party assets.
15. Third-Party Models, Infrastructure, and Services
Verboo may use models, infrastructure, and services provided or operated by third parties to provide certain features.
Availability of a specific model is not permanent or guaranteed. Models may be replaced, added, or removed for reasons including availability, capacity, security, quality, supplier agreements, or evolution of the Service, subject to the essential characteristics of the offer and Clause 5 where a material change to the subscription occurs.
Where use of a particular model or resource is subject to third-party usage restrictions that materially affect the Account Holder, Verboo will make those restrictions available or identify them in an accessible manner. Such policies do not displace rights guaranteed under Brazilian law and do not authorize sanctions beyond those provided for in these Terms and applicable law.
A violation by the Account Holder of a third-party usage restriction that was validly disclosed and is compatible with these Terms may result in the measures described in Clause 20, subject to proportionality and the applicable procedure.
16. Privacy, Data Protection, and Retention
Verboo will process personal data in accordance with Brazilian Law No. 13,709/2018 (LGPD), the Brazilian Internet Civil Rights Framework (Marco Civil da Internet), the Privacy Policy, and other applicable laws and regulations.
Inputs may be processed in the environments necessary to operate the models and features selected by the Account Holder. Verboo may process usage metadata for provision of the Service, security, prevention of fraud and abuse, support, auditing, billing, enforcement of Fair Use rules, and capacity management, within the limits disclosed in the Privacy Policy.
Verboo does not use the Account Holder's Inputs or Outputs to train or improve its own artificial intelligence models. Processing by third-party providers, where applicable, will be subject to the purposes, safeguards, conditions, and persistence rules described in the Privacy Policy and in the terms applicable to the resource used.
The restriction on training does not prevent processing strictly necessary for provision of the Service, security, prevention of fraud and abuse, support, auditing, billing, or compliance with a legal obligation, within the limits of applicable law and the Privacy Policy.
Information regarding categories of data, purposes, legal bases, sharing, international transfers, retention, and data subject rights will be detailed in the Privacy Policy.
Rights relating to personal data may be exercised through privacy@verboo.ai, without prejudice to any other channels made available by Verboo.
Where a feature stores the Account Holder's content and that content is technically exportable, Verboo will provide a reasonable means for export during the subscription term and, if the content remains stored after termination, will honor an export request for a period of up to 30 (thirty) days. This provision does not create an obligation to persist content for features or models configured not to store content and does not prevent deletion requested by the Account Holder where legally permitted.
Termination of the subscription or expiration of the export period does not override mandatory or legally authorized retention periods, including retention of application access logs where applicable, or other retention permitted under the LGPD and the Privacy Policy.
17. Prohibited Conduct and Security
The Service may not be used to:
(a) share or commercialize credentials for an individual Plan;
(b) circumvent technical mechanisms, limits, or Fair Use systems;
(c) exploit vulnerabilities, conduct intrusion, or test systems without authorization from the relevant owner;
(d) produce, adapt, or disseminate malware, phishing, spam, fraud, or data-exfiltration mechanisms for unlawful, fraudulent, or unauthorized purposes;
(e) gain unauthorized access to systems, accounts, repositories, or data;
(f) violate third-party rights or applicable law;
(g) deliberately compromise the availability, integrity, or security of the platform;
(h) use multiple accounts, credentials, or technical mechanisms for the purpose of avoiding restrictions applicable to the Plan; or
(i) engage in conduct described as incompatible with Fair Use in Clause 9.
18. Availability, Maintenance, and Support
Verboo will use reasonable efforts to maintain availability of the Service, subject to the characteristics of the subscribed Plan.
An individual Plan does not guarantee continuous availability, continued availability of a specific model, fixed speed, or a specific response time unless expressly committed to in the offer or a specific agreement.
Maintenance, outages, queues, capacity restrictions, or emergency interruptions may occur.
Formal service-level commitments apply only where expressly agreed.
19. Warranties
The Service is provided in accordance with the subscribed characteristics and is subject to the inherent limitations of computing systems and artificial intelligence models.
Verboo does not guarantee that the Service will operate without any interruption or error or that every artificial intelligence Output will be correct or suitable for a particular purpose.
Nothing in these Terms excludes warranties, rights, or liabilities that cannot validly be excluded under applicable law.
20. Suspension, Limitation, and Termination
Verboo may take proportionate measures when it identifies a violation of these Terms or the Fair Use rules, a material risk to infrastructure, fraud, unlawful activity, a security compromise, or nonpayment.
Measures may include:
(a) queueing requests;
(b) applying rate limits;
(c) temporarily reducing concurrency;
(d) temporarily reducing priority;
(e) revoking or suspending Access Keys;
(f) preventively and temporarily suspending the account; and
(g) terminating the subscription.
Except in cases of immediate risk, fraud, resale, intentional sharing, deliberate circumvention of technical controls, or another serious violation that, on a reasoned basis, requires immediate action to protect the security or stability of the Service, other users, or third parties, Verboo will notify the Account Holder through the channels described in Clause 23 and provide 5 (five) calendar days, counted from the sending of the notice, to remedy the usage before definitive termination.
A preventive suspension may occur without prior notice only where necessary to prevent or reduce a material risk to the platform, other users, or third parties, and must last only for the period reasonably necessary to analyze or mitigate the risk.
Application of a measure does not prevent the Account Holder from requesting review under Clause 9.9.
21. Liability and Legal Limitations
Verboo's liability will be governed by applicable law, including consumer-protection laws where a consumer relationship exists.
To the extent permitted by law, Verboo will not be liable for damages arising exclusively from: (a) use of the Service by the Account Holder in violation of these Terms, the documentation, or applicable law; (b) modifications, integrations, or components introduced by the Account Holder or a third party without Verboo's participation; (c) third-party services contracted directly by the Account Holder that are not part of the Service's supply chain; or (d) force majeure or other legally recognized events beyond control, where legally characterized.
Nothing in this Clause excludes or limits liability that applicable law mandatorily assigns to Verboo, including liability for defects in the provision of the Service, security failures attributable to Verboo, or acts of suppliers within the supply chain where Verboo has legal responsibility.
22. Account Holder Responsibility
The Account Holder is responsible for use of the Service carried out through their account and credentials, except for unauthorized use not attributable to the Account Holder and reported to Verboo as soon as reasonably possible after it is identified.
The Account Holder must compensate for proven losses caused by unlawful conduct or a violation of these Terms attributable to the Account Holder, provided that the damage and causal connection are demonstrated and subject to the limits of applicable law.
23. Changes, Communications, and General Provisions
These Terms, the Privacy Policy, and any supplemental policies expressly incorporated and made available by Verboo constitute the rules applicable to use of the Service, without prejudice to the offer presented at the time of subscription.
The invalidity or unenforceability of any provision does not, by itself, invalidate the remaining provisions, provided that the balance and purpose of the agreement can be preserved.
Failure to immediately exercise any right will not be interpreted as a waiver.
Material changes will be governed by Clause 5.
Communications may be sent to the email address registered to the account, prominently made available in the account area, or sent through another channel indicated by the Account Holder. Communications concerning a material change to the Terms, suspension, termination, or renewal must use a means that permits a record of their transmission or availability. The Account Holder must keep their contact information up to date.
Any assignment or transfer of Verboo's contractual position resulting from a merger, incorporation, spin-off, acquisition, corporate reorganization, or succession will comply with applicable law, preserve the Account Holder's rights, and be communicated when required or materially relevant. This provision does not authorize any transfer that would, by itself, alter essential terms of the subscription to the Account Holder's detriment.
24. Governing Law, Jurisdiction, and Contact
These Terms are governed by the laws of the Federative Republic of Brazil.
Where a consumer relationship exists, all rights and jurisdictional protections guaranteed by consumer-protection law remain fully preserved.
The courts of the Judicial District of Fortaleza, State of Ceará, will have jurisdiction only where the choice of forum is legally valid and no protective legal rule provides otherwise. In consumer relationships, the consumer retains access to the competent forum as provided by applicable law.
